1.3 We will use reasonable skill and care in providing the Services.

1.4 We reserve the right to determine whether a proposed flight can be safely and lawfully undertaken.

2

Booking

2.1 A booking is confirmed once we have received your acceptance of our quotation and, where applicable, any required deposit or payment.

2.2 Our quotation will specify the agreed services, date, location, duration and price where applicable.

2.3 Any changes to the booking must be agreed with us in advance. Additional charges may apply where changes require additional time, personnel, equipment, travel or permissions.

3

Prices and Payment

3.1 The price for the Services will be stated in our quotation or booking confirmation.

3.2 Unless otherwise agreed, payment is due in full at time of receiving booking confirmation.

3.3 Additional charges may apply for: additional flying time; additional locations; additional editing; travel or accommodation; waiting time; additional equipment; special permissions or operational requirements; repeat visits caused by circumstances outside our reasonable control.

3.4 We reserve the right to suspend or cancel Services where payment due has not been received.

4

Customer Responsibilities

4.1 You must provide us with accurate and complete information about the proposed flight location and the purpose of the Services.

4.2 You must inform us of any known hazards, restrictions, events, construction works, security concerns, access restrictions or other circumstances that may affect the proposed operation.

4.3 You are responsible for ensuring that you have the necessary authority or permission from the property owner, landowner or other relevant person to allow us to access the site and carry out the agreed Services.

4.4 You must obtain any permissions that are specifically your responsibility as the Client. We will advise you where information or permissions are required from you.

4.5 You must not ask us to carry out any flight that you know, or reasonably suspect, may be unsafe or unlawful.

5

Pilot and Flight Operations

5.1 We will provide the pilot/operator required for the agreed Services.

5.2 The pilot/operator will have sole authority to make operational decisions concerning the safety and legality of a flight.

5.3 The pilot may refuse, postpone, modify or terminate a flight where they reasonably believe that doing so is necessary for safety, legal, regulatory, privacy, security or other operational reasons.

5.4 The pilot's decision regarding whether or how a flight can safely be undertaken is final.

5.5 We will operate the drone in accordance with applicable aviation laws, regulations, operational requirements and our applicable procedures.

6

Permissions and Regulatory Requirements

6.1 Drone operations are subject to applicable UK aviation laws and regulations, including requirements administered by the Civil Aviation Authority ("CAA").

6.2 We will determine the applicable operational requirements for the agreed flight and will obtain permissions, authorisations or approvals that are our responsibility where reasonably required.

6.3 Where the proposed operation requires information, consent, access or permission from the Client or another party, the Client is responsible for providing or obtaining the same unless otherwise agreed in writing.

6.4 If a required permission, authorisation or approval cannot be obtained, we may cancel or rearrange the flight.

7

Weather and Safety

7.1 Drone operations may be affected by weather and environmental conditions.

7.2 We may postpone, cancel or modify a flight where weather conditions or other environmental factors make the operation unsafe or unsuitable.

7.3 Factors that may affect a flight include, but are not limited to: wind; rain; fog; snow or ice; poor visibility; extreme temperatures; lightning; magnetic interference; poor GPS conditions; wildlife; crowd conditions; other aircraft or aviation activity.

7.4 Where a flight is postponed due to unsuitable weather or safety conditions, we will endeavour to rearrange the booking for a mutually suitable date.

8

Access to the Site

8.1 You are responsible for ensuring that we have reasonable access to the agreed operating location at the agreed time.

8.2 If we are unable to access the site because you have failed to provide appropriate access, keys, permissions or instructions, additional charges may apply.

8.3 We are not responsible for delays caused by restricted or unavailable access where that restriction is outside our reasonable control.

9

Health and Safety

9.1 You must follow reasonable instructions given by our pilot or crew while we are carrying out the Services.

9.2 You must not interfere with the drone, pilot, equipment or flight operations.

9.3 You must inform us in advance of any known site-specific hazards, including construction works, overhead cables, dangerous structures, hazardous substances or other risks.

9.4 We may stop work immediately if we believe that continuing would create an unacceptable risk to people, property, aircraft or equipment.

10

Photography and Video

10.1 We will make reasonable efforts to capture the agreed photographs and/or video footage.

10.2 Unless specifically guaranteed in writing, we do not guarantee that every requested image, angle or shot will be obtained.

10.3 The final content may be affected by weather, lighting, access, safety requirements, aviation restrictions and other circumstances outside our reasonable control.

10.4 Where editing is included, the agreed level of editing will be stated in the quotation.

10.5 Requests for substantial additional editing may incur an additional charge.

11

Delivery of Content

11.1 Completed photographs, videos or other agreed deliverables will normally be provided electronically using cloud storage, download link, USB Drive or other methods agreed.

11.5 Unless otherwise agreed, we recommend that you maintain your own backup copies of delivered files.

12

Ownership and Copyright

12.1 Unless otherwise agreed in writing, copyright in photographs, video footage and other creative materials produced by us remains with Stratus Intelligence Limited.

12.2 Upon receipt of full payment, we grant you a licence to use the delivered materials for the purposes agreed at the time of booking.

12.3 Unless otherwise agreed, you may use the delivered materials for personal use, marketing, website content, social media and commercial use.

12.4 You must not sell, sublicense or otherwise commercially distribute the footage to third parties unless this has been agreed in writing.

12.5 We reserve the right to use completed photographs and video footage for our website, social media, advertising and promotional purposes unless you notify us in writing before the booking that you do not consent to such use.

13

Privacy and Personal Data

13.1 We will handle personal information in accordance with applicable UK data protection legislation and our Privacy Policy.

13.2 Drone photography and video may incidentally capture identifiable individuals, vehicles or property.

14

Cancellation by the Client

14.3 These cancellation charges are subject to any mandatory rights you may have under applicable consumer law.

15

Cancellation or Postponement by Us

15.1 We may cancel or postpone a booking where: the flight cannot safely or lawfully be carried out; required permissions cannot be obtained; weather conditions are unsuitable; the pilot or essential equipment becomes unavailable; the site presents an unacceptable safety risk; or circumstances outside our reasonable control prevent the Services from being provided.

15.2 Where we cancel a booking for reasons within our control, we will offer either an alternative date or a refund of amounts paid for Services that have not been provided, as appropriate.

15.3 We will not be responsible for additional costs you incur as a result of a cancelled or postponed flight unless required by law.

16

Force Majeure

16.1 We will not be liable for failure or delay in providing the Services where caused by circumstances beyond our reasonable control.

16.2 Such circumstances may include severe weather, aviation restrictions, emergencies, natural disasters, government restrictions, strikes, road closures, technical failures, illness, security incidents or other unforeseeable events.

17

Equipment

17.1 We will provide the drone, batteries, controller and other equipment reasonably required to provide the Services.

17.2 The Client must not operate, handle or interfere with our equipment unless expressly authorised by our pilot.

17.3 We may substitute equipment where reasonably necessary, provided that the substitute equipment is suitable for the agreed Services.

18

Insurance

18.1 We will maintain appropriate insurance for our business and drone operations as we consider reasonably appropriate for the Services we provide.

18.2 You are responsible for maintaining any insurance appropriate to your own activities, property and use of the delivered materials.

18.3 Where your project requires specific insurance levels or additional cover, you must notify us before booking.

19

Liability

19.1 Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

19.2 Subject to clause 19.1, we will not be liable for indirect or consequential losses, loss of profit, loss of business, loss of revenue, loss of opportunity or loss of anticipated savings arising from the Services.

19.3 Subject to clause 19.1, our total liability to you arising out of a booking will be limited to the total amount paid for the relevant Services.

19.4 We are not responsible for loss or damage caused by inaccurate information, lack of access, failure to obtain permissions that are your responsibility, or other matters within your reasonable control.

19.5 Nothing in these Terms affects your statutory rights where you are a consumer.

20

Complaints

20.1 If you are dissatisfied with any aspect of the Services, please contact us as soon as reasonably possible.

20.2 We will investigate genuine complaints and endeavour to resolve them fairly and reasonably.

20.3 Where appropriate, we may offer a re-edit, additional work, rebooking or other remedy.

21

Termination

21.1 We may terminate a booking immediately where you: request unlawful or unsafe activity; interfere with our pilot or equipment; provide materially inaccurate information; fail to make required payment; or behave abusively, threateningly or dangerously towards our staff or contractors.

21.2 Termination will not affect any rights or obligations that have already accrued.

22

Confidentiality

22.1 Where the Client provides commercially sensitive or confidential information, we will take reasonable steps to keep that information confidential.

22.2 This obligation does not apply to information that is publicly available, independently obtained, required to be disclosed by law, or necessary to provide the Services.

23
